Purpose and Scope:

This Code of Conduct establishes the ethical, legal, and professional standards expected of all Employees, Contractors, Consultants, Directors, Partners, Team Members of the Company “Voice Bridge Advisory Services LLP” (hereinafter referred to as Voice Bridge).


It applies to all activities undertaken on behalf of the company, whether within India or internationally.

Our objective is to reinforce a culture of integrity, transparency, compliance, and accountability, especially as a public affairs and policy-engagement organisation.

Our Guiding Principles

  • Integrity- We act honestly in all dealings with clients, government stakeholders, and the public.
  • Transparency- We conduct advocacy openly, with truthful representation of interests.
  • Legality- We fully comply with all applicable laws and regulatory frameworks.
  • Non-Partnership- We maintain political neutrality as a company.
  • Respect- We treat everyone with dignity, fairness, and professionalism.

1. Anti-Corruption & Anti-Bribery Compliance
Voice Bridge maintains zero tolerance for bribery, kickbacks, facilitation payments, or any form of improper advantage.
1.1 Compliance with International Laws
 Voice Bridge fully complies with:

  • U.S. Foreign Corrupt Practices Act (FCPA) – Prohibits bribery of foreign public officials and mandates accurate books and records.

  • UK Bribery Act 2010 – Covers bribery of public and private persons, facilitation payments, and failure of commercial organisations to prevent bribery.

1.2 Compliance with Indian Laws
We adhere to:

  • Prevention of Corruption Act (PCA), 1988 & Amendments – Prohibits offering or giving any undue advantage to public officials.

  • Companies Act, 2013 – Requires honest accounting, prevention of fraud, whistleblower mechanisms, and corporate governance standards.

  • Lokpal & Lokayuktas Act (where applicable) and any sector-specific guidelines relevant to client industries.

1.3 Prohibited Conduct

Team Members must never:

  • Offer, promise, give, solicit, or accept anything of value to influence a public official or private counterparty.

  • Provide “facilitation payments,” even if locally customary.

  • Use third-party intermediaries, consultants, or vendors to indirectly offer bribes.

  • Make political donations on behalf of Voice Bridge (unless explicitly permitted and approved).

  • Manipulate records, invoices, or accounts to hide improper payments.

1.4 Gifts, Hospitality, and Entertainment

  • Must be reasonable, proportionate, infrequent, and transparent.

  • Must not intend to influence official decisions.

  • Prior written approval is required for gifts/hospitality offered to public officials.

2. Public Affairs, Government Relations & Lobbying Standards

As a public affairs firm, Voice Bridge engages with policymakers, regulators, and public institutions ethically.

2.1 Representing Clients

We must:

  • Disclose our identity and our client’s identity when interacting with government stakeholders.

  • Never misrepresent facts, policies, or research.

  • Respect all statutory and regulatory requirements related to advocacy.

 

2.2 Regulatory Compliance

Depending on issue areas, Voice Bridge may be subject to:

  • Election Commission of India (ECI) rules (advertising, political communications).

  • MCA/MeitY guidelines related to digital communications, social media, or data use.

  • Industry-specific laws affecting clients (e.g., telecom, health, defence, technology).

3. Conflicts of Interest

Employees must avoid any situation where personal interests conflict with company or client interests.

Examples include:

  • Financial interests in competing or client organisations.

  • Personal relationships with government officials involved in our work.

  • Accepting outside employment or consultancy that may impact neutrality.

Conflicts must be disclosed immediately.

4. Data Protection, Confidentiality & Information Security

Voice Bridge is committed to safeguarding sensitive information.

We comply with:

  • Digital Personal Data Protection Act (DPDP Act), 2023 (India).

  • Contractual confidentiality obligations with clients.

  • International standards for responsible data handling when applicable.

Team Members must:

  • Protect confidential data from unauthorised disclosure.

  • Use company data systems securely.

  • Not share client or stakeholder information without proper approval.

5. Accurate Books, Records & Reporting

In line with the FCPA, Companies Act, and good governance practices, Voice Bridge must maintain:

  • Transparent, accurate financial records.

  • Clear documentation of expenditures, especially related to advocacy, events, hospitality, or third-party vendors.

  • No off-the-books accounts or unrecorded transactions.

6. Human Rights, Diversity & Anti-Harassment

Voice Bridge is committed to a safe and inclusive workplace.

We comply with:

  • Indian Constitution & labour laws.

  • Prevention of Sexual Harassment (POSH) Act, 2013.

  • Non-discrimination obligations under applicable employment laws.

We strictly prohibit:

  • Harassment, discrimination, bullying.

  • Retaliation against anyone raising concerns.

7. Working with Third Parties

Before engaging consultants, suppliers, or subcontractors (if and when contractually agreed), we conduct due diligence to ensure compliance with anti-bribery, ethical, and legal standards.

Third parties must:

  • Sign the Voice Bridge Supplier/Partner Code of Conduct.

  • Not engage in corrupt, fraudulent, or misleading practices.

  • Maintain transparent invoices and financial records.

8. Political Neutrality

Voice Bridge as a company does not support or endorse political parties or candidates.
Employees may participate in personal political activities but must:

  • Do so outside working hours.

  • Not use company resources.

  • Not imply company endorsement.

9. Whistleblower Protection

Employees and partners are encouraged to report violations anonymously or directly.

Voice Bridge prohibits any form of retaliation against whistleblowers.
Reported claims will be investigated fairly, confidentially, and promptly.

10. Violations & Consequences

Violation of this Code may result in:

  • Disciplinary action up to termination.

  • Reporting to law enforcement or regulatory authorities.

  • Financial penalties or legal consequences as required by law.

11. Administration of the Code

The Managing Partner of Voice Bridge:

  • Oversees implementation of this Code.

  • Provides guidance and approvals (e.g., gifts, hospitality, conflict disclosure).

  • Updates the Code in line with legal or regulatory developments.

12. Final Acknowledgement

All Team Members of Voice Bridge, have, and are bound to sign up the following declaration:

I acknowledge that I have read, understood, and agree to comply with the Voice Bridge Code of Conduct.
